• “Services” refers to software development, hosting, CRM systems, marketplace systems, integrations, support, subscriptions, consulting, and related services.
• “POPIA” refers to the Protection of Personal Information Act 4 of 2013 of South Africa.

2. Acceptance of Terms

By using our Services, registering an account, submitting information, or accessing any part of the Platform, you confirm that:

• You are legally capable of entering into binding agreements;
• You have authority to act on behalf of a business where applicable;
• You agree to comply with these Terms and all applicable laws.

3. Services Provided

Grow Easy Systems provides digital systems and services which may include:

• Hosting and maintenance;
• Reporting and automation tools;

We reserve the right to modify, suspend, or discontinue any feature or service at any time without prior notice.

4. User Responsibilities

You agree:

• Not to upload unlawful, harmful, fraudulent, or malicious content;

5. Payments and Billing

All fees, subscriptions, setup costs, development fees, and service charges are payable as agreed in writing, quotation, invoice, or subscription agreement.

Failure to make payment may result in:

• Suspension of services;
• Restriction of access;
• Removal of hosted systems;
• Legal recovery processes.

GES reserves the right to change pricing with reasonable notice.

6. No Refund Policy

STRICT NO REFUND POLICY

All payments made to Grow Easy Systems are final and non-refundable.

This includes but is not limited to:

• Deposits;
• Subscription fees;
• Development fees;
• Hosting fees;
• Licensing fees;
• Integration fees;
• Consulting fees;
• Setup fees;
• Custom development work.

By engaging our services, you acknowledge and accept that:

• Digital services and development resources are allocated immediately;
• Time, infrastructure, and technical resources are committed upon project initiation;
• No refunds will be issued for partially used services, dissatisfaction, change of mind, project delays caused by the client, or failure to use the system.

Any exceptions shall be solely at the discretion of Grow Easy Systems and must be confirmed in writing.

7. Intellectual Property

All intellectual property relating to:

• Software;
• Source code;
• System architecture;
• Branding;
• Graphics;
• Databases;
• Workflows;
• Documentation;
• Platform features;

remain the exclusive property of Grow Easy Systems unless otherwise agreed in writing.

Clients may not:

• Copy;
• Resell;
• Reverse engineer;
• Redistribute;
• Replicate;
• Modify;

any proprietary system or component without written permission.

8. POPIA Compliance & Privacy

Grow Easy Systems is committed to complying with the Protection of Personal Information Act (POPIA).

8.1 Collection of Information

We may collect:

• Names;
• Contact details;
• Company information;
• Email addresses;
• Billing information;
• User activity;
• Uploaded documents;
• Communication records;
• Technical and device information.

8.2 Purpose of Collection

Personal information may be processed for:

• Providing services;
• Account management;

• Security monitoring;
• Billing and invoicing;
• Communication;
• System improvements;

• We are not liable for loss of profits, data, business opportunities, or operational interruptions;
• Use of the Platform is at your own risk.

Our maximum liability shall not exceed the amount paid by the client for the relevant service during the preceding three months.

11. Indemnity

You agree to indemnify and hold harmless Grow Easy Systems, its directors, employees, contractors, and affiliates from any claims, damages, liabilities, or expenses arising from:

• Your use of the Services;
• Violation of these Terms;
• Unlawful activities;
• Third-party disputes.

12. Termination

We reserve the right to suspend or terminate access to Services immediately where:

• Terms are breached;
• Payments are overdue;
• Fraudulent or unlawful activity is suspected;
• System abuse occurs.

Termination does not remove outstanding payment obligations.

13. Third-Party Services

The Platform may integrate with third-party systems including:

• Payment gateways;
• Email providers;
• Hosting providers;
• APIs;
• Communication tools.

GES is not responsible for failures, security issues, or interruptions caused by third-party providers.

14. Governing Law

These Terms shall be governed by the laws of the Republic of South Africa.

Any disputes shall be subject to the jurisdiction of South African courts.

15. Amendments

Grow Easy Systems may update these Terms from time to time.

Updated versions will become effective upon publication on the Platform.

Continued use of the Services constitutes acceptance of updated Terms.
